Terms of Service

1. Acceptance of Terms
By accessing, browsing, or using PassEPPP (the "Service"), operated by Education Services Unlimited Inc. ("Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms, guidelines, or rules referenced herein or presented to you in connection with specific features of the Service (collectively, the "Agreement"). If you do not agree with any part of this Agreement, you must immediately discontinue all use of the Service.
We reserve the right to update, amend, or modify these Terms at any time in our sole discretion. We will notify registered users of material changes via email or an in-app notification at least fourteen (14) days before they take effect. Your continued use of the Service after the effective date of any such modification constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, your sole remedy is to cancel your account and discontinue use of the Service before the effective date.
These Terms constitute a legally binding agreement between you and the Company. You represent and warrant that you have the legal capacity and authority to enter into this Agreement.
2. Eligibility
You must be at least eighteen (18) years of age to create an account or use the Service. By registering for an account or using the Service, you represent and warrant that: (a) you are at least 18 years old; (b) you have not been previously suspended or removed from the Service; (c) all registration information you submit is truthful, accurate, current, and complete; and (d) you will maintain the accuracy of such information throughout the term of your use.
If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case the terms "you" and "your" shall refer to such entity.
3. Account Registration and Security
To access certain features of the Service, you must create an account using a valid email address and authenticate through our third-party identity provider (currently Auth0). You are solely responsible for:
- Maintaining the confidentiality of your login credentials, including but not limited to passwords, tokens, and authentication methods
- All activity that occurs under your account, whether or not you authorized such activity
- Notifying us immediately at support@passeppp.com if you become aware of or suspect any unauthorized access to your account or any other breach of security
- Ensuring that your account information, including your email address, is accurate, current, and complete at all times
Each account is licensed for use by a single individual. You may not share, transfer, sell, sublicense, or otherwise make your account or login credentials available to any other person or entity. Accounts found to be shared or accessed concurrently from multiple devices or locations in a manner inconsistent with individual use may be suspended or terminated without refund. We reserve the right to use technical measures, including but not limited to device fingerprinting, IP analysis, and session monitoring, to detect and prevent account sharing and unauthorized access.
We are not liable for any loss or damage arising from your failure to comply with the security obligations in this section.
4. Description of Service
PassEPPP provides Examination for Professional Practice in Psychology (EPPP) preparation materials and tools, including but not limited to:
- Timed practice examinations simulating the format and conditions of the EPPP
- Domain-specific quizzes covering all EPPP content domains at multiple difficulty levels
- On-demand video lectures and topic-specific mini-lectures available in multiple languages
- Live instructor-led lecture sessions with interactive Q&A components
- Adaptive flashcard systems utilizing spaced repetition algorithms
- Digital textbook content organized by domain and chapter
- Mastery learning modules with discrimination training exercises
- Study calendars, progress tracking dashboards, and performance analytics
- Remediation tools for targeted review of missed or weak content areas
- Test-taking strategy bootcamp materials
Access to specific features, content volumes, and tools depends on your subscription tier (Trial, Fundamentals, Enrichment, Mastery, or Ultimate). The specific features and content included in each tier are described on our pricing page at the time of your purchase and may be updated from time to time. We will not materially reduce the core features included in your active subscription tier during your current billing period without providing notice and, where appropriate, a prorated credit or the opportunity to cancel.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including but not limited to content, features, hours of availability, and equipment needed for access. We may impose limits on certain features or restrict your access to parts or all of the Service without notice or liability.
5. Free Trial
We may offer a free trial period that provides limited access to the Service. The duration and scope of the free trial are specified at the time of registration and may vary. During the free trial:
- No credit card or payment information is required to start the trial
- Access is limited to sample content as described on the pricing page
- The trial is available once per individual; creating multiple accounts to obtain additional free trials is prohibited
- We reserve the right to modify, suspend, or terminate free trial offers at any time without prior notice
At the conclusion of the free trial, your access to trial content will end unless you subscribe to a paid plan. Any data, progress, or settings created during the trial period may be retained and associated with your account if you subsequently subscribe.
6. Acceptable Use
You agree to use the Service only for lawful, personal, non-commercial educational purposes directly related to your own EPPP preparation. You expressly agree not to:
- Copy, reproduce, distribute, transmit, display, perform, publish, sell, license, create derivative works from, or otherwise exploit any content, materials, or information obtained from the Service, in whole or in part, without our prior written consent
- Use any automated means, including but not limited to bots, scrapers, crawlers, spiders, data mining tools, or any other automated software, scripts, or devices to access, index, extract, scrape, or download content from the Service
- Reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code, underlying algorithms, data structures, or architecture of the Service or any component thereof
- Circumvent, disable, interfere with, or attempt to defeat any security features, access controls, copy protection mechanisms, digital rights management, or rate-limiting measures of the Service
- Share, publish, distribute, or make available exam questions, answer keys, explanations, lecture transcripts, video content, flashcard content, or any other proprietary content from the Service through any medium, including but not limited to social media, messaging platforms, forums, file-sharing services, or in-person study groups
- Use the Service or any content derived therefrom to develop, train, or improve any competing product, service, or educational platform, whether directly or indirectly
- Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity
- Use the Service to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation
- Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material to the Service
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
- Take any action that imposes an unreasonable or disproportionately large load on our infrastructure
- Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use and enjoyment of the Service
Violation of any of these restrictions may result in immediate suspension or termination of your account without prior notice or refund, at our sole discretion. We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including without limitation referring violations to law enforcement authorities.
7. Subscription Plans and Billing
7.1 Billing Cycles and Auto-Renewal
Subscriptions are available in monthly, three-month (quarterly), and six-month (semi-annual) billing periods. The Ultimate plan is a one-time purchase covering six months of access. All recurring subscriptions automatically renew at the end of each billing period at the then-current rate unless canceled before the renewal date. By subscribing, you expressly acknowledge and agree to automatic recurring billing.
7.2 Payment Processing
All payments are processed securely through our third-party payment processor, Stripe, Inc. By subscribing, you authorize us (via Stripe) to charge your selected payment method on a recurring basis according to your chosen billing cycle. You are responsible for keeping your payment information current and accurate. We do not store your full credit card number or payment credentials on our servers; all payment data is handled in accordance with PCI DSS standards by Stripe.
7.3 Price Changes
We may adjust subscription pricing at any time with at least thirty (30) days' prior notice to you. Price changes will apply at the start of your next billing period following the notice period, not during an active billing period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.
7.4 Upgrades and Downgrades
You may upgrade your subscription tier at any time through your account settings. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your current billing period, calculated as the difference between the full price of the new plan and a credit for the unused portion of your current plan. Downgrades take effect at the start of your next billing period; you retain access to your current tier's features until the end of the current period.
7.5 Failed Payments
If a scheduled payment fails, we will attempt to process the charge again up to three (3) additional times over a period of up to fourteen (14) days. During this period, your access may be restricted or suspended. If payment cannot be collected after all retry attempts, your subscription will be canceled, and your account will be downgraded to the free tier. We are not responsible for any interruption in service caused by payment failures.
7.6 Taxes
All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for paying any applicable sales tax, use tax, value-added tax, goods and services tax, or similar governmental charges imposed on your purchase, regardless of whether such taxes are listed on your invoice at the time of purchase.
8. Promotional Pricing and Coupon Codes
From time to time, we may offer promotional pricing, discount codes, coupon codes, or other special offers ("Promotions"). Promotions are subject to the following terms:
- Promotions are valid only during the specified promotional period and may be withdrawn or modified at any time without prior notice
- Promotional pricing applies only to the initial billing period unless otherwise expressly stated; subsequent renewals will be charged at the then-current standard rate
- Coupon codes are intended for single use per account unless otherwise specified and may not be combined with other offers or discounts
- Promotions may be limited to specific subscription tiers, billing periods, or user segments as specified in the promotional terms
- We reserve the right to revoke or void any Promotion that we determine, in our sole discretion, was obtained through fraud, error, or violation of the promotional terms
- Promotional pricing does not establish a precedent for future pricing and does not entitle you to receive the promotional rate upon renewal
- Promotional offers are non-transferable and have no cash value
9. Cancellation and Refund Policy
9.1 Cancellation
You may cancel your subscription at any time through your account's Membership page or by contacting support@passeppp.com. Upon cancellation:
- Your subscription will not renew at the end of the current billing period
- You will retain access to all features of your current subscription tier until the end of the billing period for which you have already paid
- No partial or prorated refunds will be issued for unused time remaining within a billing period
- Your account will be downgraded to the free tier after your paid access expires
- Study progress, scores, and account data will be retained in accordance with our Privacy Policy and data retention practices
9.2 Refunds
Refund requests are evaluated on a case-by-case basis at our sole discretion. If you believe you are entitled to a refund, you must contact us at support@passeppp.com within fourteen (14) days of the charge in question. We are not obligated to issue refunds except where required by applicable law, but we will consider requests made in good faith. Refunds, if granted, will be processed to the original payment method within ten (10) business days.
9.3 Pass Guarantee (Ultimate Plan)
The Ultimate plan includes a pass guarantee subject to separate and specific eligibility criteria. To qualify for the pass guarantee, you must complete all required study milestones, engagement requirements, and assessment benchmarks as outlined in the Pass Guarantee Terms presented to you at the time of purchase. The Pass Guarantee Terms are incorporated into this Agreement by reference. Failure to meet any eligibility requirement will disqualify you from the guarantee. The pass guarantee applies solely to the EPPP Part 1 (Knowledge) examination.
10. One-Time Purchases
Certain content, including but not limited to individual topic lectures, lecture bundles, and supplemental materials, may be available for one-time purchase independently of a subscription. Once purchased, these items are accessible from your account indefinitely, subject to the continued availability and operation of the Service. One-time purchases are non-refundable and non-transferable except where required by applicable law. We do not guarantee that one-time purchase content will remain available indefinitely and reserve the right to remove or modify such content with reasonable notice.
11. Intellectual Property
11.1 Our Content
All content available on or through the Service, including but not limited to practice questions, answer explanations, video lectures, lecture transcripts, flashcard content, digital textbook materials, study guides, graphics, logos, icons, images, audio clips, software, source code, and the overall design, structure, selection, coordination, expression, look and feel, and arrangement of the Service (collectively, "Content"), is the exclusive property of Education Services Unlimited Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
11.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your personal, non-commercial EPPP examination preparation. This license does not include the right to: (a) modify, adapt, translate, or create derivative works of the Content; (b) distribute, sublicense, lease, rent, loan, or otherwise transfer the Content to any third party; (c) remove, alter, or obscure any copyright, trademark, or other proprietary rights notices; or (d) use the Content for any purpose other than your own individual exam preparation.
11.3 Trademarks
"PassEPPP," "Education Services Unlimited," and all related names, logos, product and service names, designs, and slogans are trademarks of Education Services Unlimited Inc. or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans appearing on the Service are the trademarks of their respective owners.
12. User Feedback and Submissions
If you provide us with any feedback, suggestions, ideas, comments, bug reports, feature requests, or other communications regarding the Service ("Feedback"), you hereby assign to us all right, title, and interest in and to the Feedback, and we shall be free to use, reproduce, modify, distribute, and otherwise exploit the Feedback for any purpose without restriction, attribution, or compensation to you. You represent and warrant that you have the right to submit such Feedback and that it does not violate the rights of any third party.
This section does not apply to personal information you provide, which is governed by our Privacy Policy.
13. Third-Party Services and Links
The Service may contain links to third-party websites, services, or resources, and may integrate with third-party services including but not limited to Stripe for payments, Auth0 for authentication, Zoom for live lectures, and YouTube for video content. These third-party services are not under our control, and we are not responsible for their content, privacy policies, practices, availability, or performance.
Your use of any third-party service is at your own risk and is subject to the terms and conditions and privacy policies of such third-party services. We do not endorse, warrant, or assume responsibility for any third-party service, and the inclusion of any link or integration does not imply our endorsement of the linked site or service. We encourage you to review the terms and privacy policies of any third-party services before using them.
14. DMCA and Copyright Infringement
We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content on the Service infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our designated copyright agent with the following information in writing:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
- Your contact information, including address, telephone number, and email address
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

15. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL CONTENT, FEATURES, AND FUNCTIONALITY, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE
- ANY ERRORS IN THE SERVICE WILL BE CORRECTED
- THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS
- THE CONTENT IS CURRENT, COMPLETE, OR FREE OF ERRORS, OMISSIONS, OR INACCURACIES
PassEPPP is a supplemental study aid designed to assist in your EPPP preparation. WE MAKE NO GUARANTEE, REPRESENTATION, OR WARRANTY THAT USE OF THE SERVICE WILL RESULT IN PASSING THE EPPP OR ANY OTHER EXAMINATION. Examination outcomes depend on numerous factors beyond our control, including but not limited to your individual study habits, prior education, clinical experience, test-day conditions, and personal circumstances. Any practice exam scores, performance predictions, or readiness assessments provided by the Service are estimates only and should not be relied upon as guarantees of actual exam performance.
THE CONTENT PROVIDED THROUGH THE SERVICE IS FOR EDUCATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL PSYCHOLOGICAL ADVICE, CLINICAL GUIDANCE, OR LEGAL COUNSEL.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDUCATION SERVICES UNLIMITED INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "COMPANY PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- LOSS OF DATA OR DATA CORRUPTION
- LOSS OF GOODWILL OR REPUTATION
- COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
- PERSONAL INJURY OR EMOTIONAL DISTRESS
- ANY DAMAGES ARISING FROM YOUR RELIANCE ON THE SERVICE OR CONTENT
- ANY FAILURE TO PASS THE EPPP OR ANY OTHER EXAMINATION
ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, INABILITY TO USE, OR RELIANCE ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE COMPANY PARTIES' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
17. Indemnification
You agree to indemnify, defend, and hold harmless Education Services Unlimited Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms or any applicable law, regulation, or third-party right; (c) any content or information you submit or transmit through the Service; (d) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (e) any dispute between you and any third party arising out of or relating to the Service.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with us in asserting any available defenses. Your indemnification obligations shall survive the termination of these Terms and your use of the Service.
18. Termination
18.1 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without prior notice, in our sole discretion. Grounds for termination include, but are not limited to:
- Violation of these Terms, our Privacy Policy, or any applicable law or regulation
- Sharing account credentials or proprietary content outside the platform
- Engaging in fraudulent, abusive, or deceptive behavior
- Non-payment of applicable fees after reasonable collection attempts
- Extended periods of account inactivity
- Conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties, or to the reputation or goodwill of the Service
- Requests by law enforcement or governmental agencies
18.2 Termination by You
You may terminate your account at any time by canceling your subscription and contacting support@passeppp.com to request account deletion. Account deletion requests will be processed within thirty (30) days, subject to data retention requirements described in our Privacy Policy.
18.3 Effect of Termination
Upon termination, your right to access and use the Service ceases immediately. We are under no obligation to retain, store, or provide you with any data associated with your account after termination, except as required by applicable law. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.
19. Governing Law and Dispute Resolution
19.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.
19.2 Mandatory Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes"), shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the Dispute cannot be resolved through negotiation, it shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in English in Houston, Texas, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
19.3 Class Action Waiver
YOU AND THE COMPANY AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, MULTI-DISTRICT, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
19.4 Small Claims Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of the small claims court's jurisdiction.
19.5 Arbitration Opt-Out
You may opt out of the arbitration and class action waiver provisions of this section by sending written notice to legal@passeppp.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, account email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction in such courts.
20. Electronic Communications
By creating an account, you consent to receive electronic communications from us, including but not limited to account confirmations, subscription and billing notifications, service updates, security alerts, study reminders, and promotional communications. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
You may opt out of promotional communications at any time by using the unsubscribe link in the email or by contacting support@passeppp.com. You cannot opt out of transactional communications related to your account, subscription, or the operation of the Service.
21. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God; natural disasters; pandemics or epidemics; war, terrorism, or civil unrest; government actions, orders, or regulations; embargoes or sanctions; labor disputes or strikes; failure of third-party services or infrastructure; internet or telecommunications failures; power outages; cyberattacks; or any other cause beyond the Company's reasonable control (each, a "Force Majeure Event"). In the event of a Force Majeure Event, the Company's obligations shall be suspended for the duration of the event, and the Company shall use commercially reasonable efforts to resume performance as soon as practicable.

23. Export Controls
The Service and its content may be subject to United States export control laws and regulations, including the Export Administration Regulations. You agree not to export, re-export, or transfer the Service or any content to any country, entity, or person prohibited by United States law. You represent and warrant that you are not located in, or a resident or national of, any country subject to a U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.
24. Government Users
If you are accessing or using the Service on behalf of the United States Government or any agency thereof, the Service is provided as "commercial computer software" and "commercial computer software documentation" as those terms are defined in 48 C.F.R. 2.101 and 48 C.F.R. 12.212. Use, reproduction, and disclosure of the Service are governed by these Terms and applicable federal law.
25. Assignment
You may not assign, delegate, or transfer these Terms or any of your rights or obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without our prior written consent. Any purported assignment in violation of this section is void. We may assign these Terms or any rights or obligations hereunder without your consent, in whole or in part, to any affiliate or successor in interest, or in connection with any merger, acquisition, reorganization, or sale of all or substantially all of our assets.
26. Waiver
No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. All waivers must be in writing and signed by an authorized representative of the Company to be effective.
27. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision in any jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction.

Notices to you may be provided via the email address associated with your account, through in-app notifications, or by posting on the Service. You are responsible for ensuring that the email address associated with your account is current and capable of receiving notices. Notices are deemed received upon sending of the email, posting of the in-app notification, or three (3) business days after mailing.
29. Entire Agreement
These Terms, together with our Privacy Policy, any plan-specific terms presented at checkout, the Pass Guarantee Terms (if applicable), and any other terms incorporated by reference herein, constitute the entire agreement between you and Education Services Unlimited Inc. regarding the Service and supersede all prior and contemporaneous written or oral agreements, proposals, negotiations, representations, and understandings between the parties with respect to the subject matter hereof. No terms or conditions set forth in any purchase order, acknowledgment, or other business form that you may use in connection with the Service shall alter or supplement these Terms, and any such terms are hereby rejected.
